Welcome to AV Intelligence. These Terms of Service (“Terms”) govern the relationship between AV Intelligence (“we,” “our,” or “us”) and our clients (“Client”) in relation to the use of our website and the provision of our engineering-led audio-visual, lighting, and automation services.
1. Informational Content
Information provided on this website is for general guidance only and does not constitute a binding offer. Final scope, specifications, pricing, and deliverables are governed exclusively by a confirmed quotation, proposal, or executed agreement.
2. Engineering-Led Engagement
AV Intelligence delivers bespoke, integrated environments designed around system performance, longevity, and architectural intent.
Scope of Work:
The specific services, system design, and hardware supplied are strictly defined by the confirmed quotation or executed agreement.
Design Integrity:
As an engineering-led firm, we prioritise system performance and integration discipline. Any modification to the approved design, specifications, or equipment list requested after project commencement may result in additional engineering fees, labour charges, and hardware costs.
3. Call-Out, Onsite Support & Servicing Fees
Call-out and onsite support fees cover professional time, technical expertise, and travel, and are chargeable regardless of whether a fault is ultimately resolved.
Onsite support typically includes inspection, diagnosis, basic configuration checks, and reasonable troubleshooting within the agreed visit scope. Resolution may depend on factors beyond AV Intelligence’s control, including but not limited to equipment condition, third-party systems, site readiness, environmental factors, or parts availability.
Any additional work, extended time on site, or follow-up visits will be chargeable and subject to client approval.
Time spent on site due to access delays, waiting for client instructions, or dependency on third-party attendance may be chargeable.
Fees do not include replacement parts, new equipment, or major rectification works unless expressly agreed in writing.
4. Repair & Servicing
Repair and servicing work, whether in or out of warranty, is undertaken on a best-effort basis. Due to the nature of electronic and electro-mechanical equipment—particularly legacy, discontinued, or third-party products—AV Intelligence does not guarantee that faults can be fully identified or permanently resolved.
Diagnosis is based on observable symptoms and information available at the time of inspection. Additional or underlying issues may exist and may only become apparent during or after repair or servicing.
Where replacement parts are required, availability, lead time, and cost are subject to manufacturer or supplier constraints. Any timelines provided are indicative only and do not constitute a guarantee of completion.
AV Intelligence shall not be responsible for failures arising from manufacturer defects, age-related degradation, prior modifications, misuse, or equipment not originally supplied or installed by AV Intelligence.
Any repair or servicing work beyond initial inspection or diagnosis will be carried out only upon client approval. Functional testing is limited to reasonable operational checks and does not constitute long-term performance, endurance, or reliability testing.
5. Hardware & Manufacturer Warranties
It is important to distinguish between hardware components and AV Intelligence’s integration services.
Manufacturer Warranty:
All hardware (including but not limited to speakers, displays, processors, control systems, and lighting modules) is covered strictly by the original equipment manufacturer’s (OEM) warranty. OEM warranties are subject to the manufacturer’s terms and conditions and are generally non-transferable.
Warranty Commencement:
Manufacturer warranty coverage commences upon the date of physical delivery to site or project handover, whichever occurs first.
Warranty Facilitation:
During the initial handover period, AV Intelligence will assist in facilitating warranty claims with manufacturers on the client’s behalf.
Exclusions:
OEM warranties typically exclude damage arising from acts of God (including lightning and power surges), unauthorised modifications, improper use, inadequate ventilation, moisture, dust, or environmental conditions outside manufacturer specifications.
6. Service Labour & Maintenance
Labour Coverage:
Manufacturer warranties typically cover replacement parts only and do not include labour required for diagnosis, removal, transport, reinstallation, calibration, or recommissioning.
Service Fees:
Onsite technical support, servicing, and warranty-related labour are chargeable at AV Intelligence’s prevailing rates unless the client is covered under an active Maintenance & Support Agreement.
Handover Period:
A limited complimentary post-installation “burn-in” support period may be provided, as specified in the relevant proposal, to address initial system stability matters.
7. System Performance & Environment
Commissioning & Calibration:
Systems are delivered as engineered environments and validated through structured commissioning and calibration processes.
Acoustics & Infrastructure:
Final system performance is influenced by room acoustics, construction quality, and site conditions. AV Intelligence is not responsible for performance degradation resulting from structural alterations, furnishings, or environmental changes made after commissioning.
Network Stability:
While AV Intelligence designs robust network architectures, we are not responsible for service interruptions or system issues caused by the client’s Internet Service Provider (ISP), third-party network equipment, or changes made after commissioning.
8. System Access & Credentials
Clients are responsible for maintaining the security and integrity of system credentials, network access, and third-party service accounts. AV Intelligence shall not be liable for issues arising from credential changes, revoked access, expired subscriptions, or third-party account restrictions beyond our control.
9. Third-Party Contractors
AV Intelligence is not responsible for delays, damage, defects, or system performance issues arising from the actions or omissions of third-party contractors, consultants, designers, electricians, or vendors not engaged directly by AV Intelligence.
10. Ownership & Site Readiness
Title of Goods:
All equipment supplied remains the property of AV Intelligence until all invoices relating to the project are paid in full.
Site Readiness:
The client or their appointed lead contractor is responsible for ensuring the site meets all technical requirements—including power, ventilation, mounting provisions, and cabling pathways—set out in AV Intelligence’s engineering documentation prior to installation.
11. Limitation of Liability
To the fullest extent permitted by law, AV Intelligence shall not be liable for any indirect, incidental, or consequential loss or damage, including loss of data, loss of use, or system downtime, arising from third-party hardware, software, or circumstances beyond AV Intelligence’s reasonable control.
AV Intelligence’s total liability in respect of any claim shall be limited to the fees paid for the specific service or project giving rise to the claim.
12. End-of-Life Equipment & Disposal
Equipment removed, replaced, deemed non-repairable, or no longer required at the client’s request shall be treated as end-of-life electronic waste.
Where AV Intelligence is requested to arrange disposal, handling, logistics, and coordination with licensed e-waste recyclers may be chargeable and will be communicated in advance.
Clients may alternatively arrange their own collection or disposal, in which case AV Intelligence’s responsibility shall be limited to preparing equipment for handover. AV Intelligence does not dispose of electronic equipment via general waste streams.
13. Force Majeure
AV Intelligence shall not be liable for delays or failure to perform arising from events beyond its reasonable control, including acts of God, supply-chain disruptions, regulatory changes, labour shortages, or government restrictions.
14. Order of Precedence
In the event of any inconsistency, the terms set out in a confirmed quotation, proposal, or executed agreement shall prevail over these Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore or Malaysia, depending on the legal entity through which the project is contracted.
